Terms of Service

Effective Date: April 22, 2026

These Terms of Service ("Terms") govern your access to and use of the AnesthesiaFlow mobile applications, web portal at anesthesiaflow.app, marketing site at anesthesiaflow.org, and all related services (collectively, the "Service"). The Service is operated by Bishoy Gerges, sole proprietor, based in Florida, United States ("AnesthesiaFlow," "we," "us," or "our").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICE.

1. Eligibility

To use the Service, you must (a) be at least 18 years of age, (b) be a credentialed or authorized member of a hospital anesthesia department that has deployed AnesthesiaFlow, or be enrolled as a student in an accredited program rotating through such a department, (c) have received a valid group invite code from your department's administrator, and (d) have the legal capacity to enter into a binding agreement.

Users are responsible for using the Service in accordance with their employer's policies, credentialing requirements, privacy rules, and applicable laws.

2. Account and Access

Access to the Service is gated by your department's group code. You are responsible for keeping your group code, login credentials, and any administrative PIN confidential. You may not share access with individuals outside your authorized department. If you suspect unauthorized access has occurred, you must notify your department administrator and us immediately.

3. Acceptable Use

By using the Service, you agree that you will not, and will not permit any third party to:

  • Enter or transmit Protected Health Information (PHI) or patient-identifying information, including patient names, dates of birth, medical record numbers, patient photos, wristband images, chart screenshots, consent forms, patient-specific clinical findings, diagnoses, or any information that could reasonably identify a patient
  • Use the Service in a manner that violates HIPAA, your hospital's information policies, or any applicable law
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent permitted by applicable law
  • Probe, scan, or test the vulnerability of the Service or attempt to circumvent any security or authentication measures
  • Use any robot, scraper, automated script, or other automated means to access the Service
  • Send messages, photos, or content that is harassing, defamatory, threatening, obscene, or otherwise unlawful
  • Impersonate any person or entity, or misrepresent your role or affiliation
  • Use the Service to reverse engineer, copy, benchmark for competitive purposes, build a competing product, or train a machine learning model, except as permitted by applicable law
  • Resell, sublicense, or commercially exploit any portion of the Service without our prior written consent

Violation of this section may result in immediate suspension or termination of your access, removal from your department group, and may be reported to your hospital, your professional licensing authority, or law enforcement as appropriate.

We and/or department administrators may review, remove, restrict, or preserve content reported as inappropriate, unsafe, privacy-sensitive, or in violation of these Terms. We may suspend or terminate access for users who post prohibited content, including PHI, patient-identifying information, harassment, threats, or unlawful material.

3a. User-Generated Content and Moderation

The Service may allow authorized users to post messages, notes, reactions, and optional photos within their department group. Users are responsible for the content they post and must not post PHI, patient-identifying information, offensive content, or content that violates hospital policy. Department administrators may remove content, restrict access, or contact us for assistance. Users may report inappropriate or privacy-sensitive content by using the Report function within the app or by contacting support@anesthesiaflow.org.

4. Clinical and Medical Disclaimer

Critical: AnesthesiaFlow is a workflow management tool, not a medical device.

AnesthesiaFlow is designed to support communication, scheduling, and coordination among anesthesia professionals. It is NOT a clinical decision-support tool, NOT a substitute for clinical judgment, NOT a substitute for any electronic health record (EHR) or anesthesia information management system (AIMS), and NOT a regulated medical device.

Information displayed in the Service — including surgeon preferences, protocols, and historical assignments — is operational reference material entered by users. It must not be relied upon for patient care decisions. Always verify clinical information against authoritative hospital sources, the patient record, and your own clinical assessment.

AnesthesiaFlow is provided to assist licensed and credentialed anesthesia professionals with the operational aspects of their work. Any clinical decision, including but not limited to the choice of anesthetic technique, drug selection, dosing, monitoring, or escalation of care, is the sole responsibility of the licensed provider treating the patient. AnesthesiaFlow disclaims any responsibility for clinical decisions made in connection with the Service.

4a. Emergency and STAT Help Features

Any SOS, STAT Help, alert, or similar feature in the Service is intended only for internal department communication and workflow coordination. It is not a substitute for calling emergency services, activating hospital emergency protocols, contacting the appropriate clinical chain of command, or following hospital policy. Users remain responsible for using official hospital communication systems and emergency procedures when patient safety or urgent clinical response is required.

4b. Department Administration

Department administrators are responsible for managing access to their group, including inviting users, removing users who are no longer authorized, assigning administrative privileges, and ensuring use of the Service is consistent with department and hospital policies. We may rely on instructions from a department administrator regarding group access, data exports, member removal, and operational configuration.

5. License Granted to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal use in connection with your authorized anesthesia department. This license terminates automatically when you cease to be an authorized member of your department or when these Terms are terminated.

6. Intellectual Property

All right, title, and interest in and to the Service, including but not limited to the software, source code, design, graphics, text, user interface, branding, trademarks, and underlying data structures, are owned by AnesthesiaFlow and its licensors. Nothing in these Terms transfers any of those rights to you.

Content you contribute to the Service — including chat messages, surgeon preferences, photos, schedule data, and case logs — remains yours. By contributing such content, you grant AnesthesiaFlow a worldwide, royalty-free license to host, store, display, transmit, and process that content as necessary to operate the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

8. Third-Party Services

The Service incorporates components from third-party providers including Google Firebase, Anthropic, Base44 (operated by Wix.com Ltd.), Vercel, Resend, Sentry, and others described in our Privacy Policy. Your use of those components is also subject to those providers' respective terms. AnesthesiaFlow is not responsible for the acts or omissions of third-party providers.

9. Modifications to the Service

We may, at any time and without prior notice, modify, suspend, discontinue, or impose limitations on the Service or any feature of the Service. We will provide reasonable advance notice of material changes that adversely affect existing users where practical, but we are not obligated to do so.

10. Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access at any time, with or without cause, with or without notice, including but not limited to violations of these Terms, requests by your department administrator, or our discontinuation of the Service. You may stop using the Service at any time.

Upon termination, all licenses granted to you immediately end. Sections of these Terms that by their nature should survive termination — including Sections 4, 6, 11, 12, 13, 14, and 15 — will survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANESTHESIAFLOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION DISPLAYED IN THE SERVICE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANESTHESIAFLOW, ITS OPERATOR, OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ANESTHESIAFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent any such exclusion or limitation is not permitted in your jurisdiction, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless AnesthesiaFlow, its operator, and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, including the entry of unauthorized PHI into the Service, or (d) any content you contribute.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Pasco County or Hillsborough County, Florida, and you consent to the personal jurisdiction of those courts.

You and AnesthesiaFlow agree to first attempt to resolve any dispute informally by contacting us at the address in Section 17 before initiating any formal legal proceeding.

15. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable while preserving its intent.

16. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the Effective Date and notify users via in-app notice or email at least 14 days before the change takes effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
